Item 5.02
Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
(b) On May 17, 2006, Mr. John B. Curcio notified the registrant of his resignation from the registrant's Board of Directors effective May 29, 2006. Mr. Curcio's resignation is consistent with the Board of Directors' policy that a director resign from the Board upon reaching the age of 72.
